Jeff Parrish PC Services LLC ("Licensor") — this Agreement governs the commercial license of RustProxy (the product identified at /products/rust-proxy, "the Software") to the licensee identified at checkout ("Licensee").
RustProxy is also available to everyone under the GNU Affero General Public License v3.0. This Agreement is the alternative, for a Licensee who wants to use the Software without the AGPL's source-sharing conditions. It is entered into electronically; Licensee's typed legal name, the checkbox acceptance, and the recorded IP address and timestamp together constitute Licensee's signature (see Section 7).
Notice: Drafted to satisfy the five conditions of the Illinois canned-software license exemption (86 Ill. Adm. Code 130.1935(a)(1)) so that this transaction is licensed, not sold, for Illinois Retailers' Occupation Tax purposes. The license is perpetual, so the end-of-term return/destroy condition applies on termination only (Section 5).
On payment of the license fee, and while you comply with this Agreement, Licensor grants the licensee named on the order ("Licensee", one person or one organization) a non-exclusive, perpetual, worldwide license to:
"Perpetual" covers every version of RustProxy Licensor releases, past and future, for as long as Licensee complies with this Agreement.
Licensee may not:
Licensee may use the software under the AGPL instead at any time. The restrictions in this Section apply only to use under this Commercial License.
This license belongs to Licensee and may not be transferred without Licensor's written permission, except to a successor of Licensee's whole business that agrees to this Agreement in writing.
Every release is available from Licensor's public package repository and Releases page at no additional charge, so a lost or damaged copy is replaced by downloading it again. Licensee may keep archival copies solely for backup.
The license has no expiry date. Licensor may terminate it if Licensee materially breaches this Agreement and does not fix the breach within 15 days of written notice; on termination Licensee must stop using the software under this license (the AGPL still applies to anyone who complies with it) and destroy copies made under this license that Licensee does not hold under the AGPL.
THE SOFTWARE IS PROVIDED "AS IS", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. LICENSOR'S TOTAL LIABILITY UNDER THIS AGREEMENT WILL NOT EXCEED THE LICENSE FEE PAID, AND LICENSOR IS NOT LIABLE FOR INDIRECT, INCIDENTAL OR CONSEQUENTIAL DAMAGES.
Licensee's typed full legal name and checkbox acceptance at checkout, together with the recorded email address, IP address and timestamp, constitute Licensee's signature on this Agreement.
Illinois law governs this Agreement, without regard to conflict-of-laws rules.
